By accessing or using the SmartAgents website, free tools, or paid services, you agree to these terms. If you do not agree, do not use the site or services. These terms form a binding agreement between you and SmartAgents LLC.

SmartAgents provides AI automation strategy, design, build, and operations services for growing businesses. The site also includes free tools (such as the AI Opportunity Map) and marketing content. Paid engagements are governed by a separate signed statement of work or master services agreement.

You may use the website and free tools for lawful, personal, or legitimate business purposes. You agree not to (a) attempt to reverse-engineer or scrape the site, (b) use the site or tools to harm others, (c) submit information you do not have the right to share, or (d) misrepresent your identity or affiliation. We may suspend or terminate access for misuse.

All content on the SmartAgents website (including text, graphics, logos, frameworks such as the 5·5·5 Combo and the AI Opportunity Map methodology, and the underlying code) is owned by SmartAgents LLC or our licensors and is protected by intellectual property law. You may share and reference our public content with attribution; you may not republish, resell, or train AI models on our content without written permission.

Paid engagements (including the AI Readiness Scorecard and any build or retainer work) are governed by a separate signed agreement that supersedes these terms with respect to the specific engagement. Nothing on the website constitutes a binding offer of services; offers are made via signed proposals.

The website, free tools, and marketing content are provided "as is" without warranties of any kind. Output from the AI Opportunity Map is a rough self-assessment, not professional advice. We make no guarantees about the outcomes of AI automation projects, including any specific performance metric or return on investment. Past performance is not indicative of future results.

To the fullest extent permitted by law, SmartAgents LLC and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, or special damages arising from your use of the website or free tools. Our total liability arising from use of the site or free tools is limited to $100. For paid engagements, liability is limited as stated in the applicable services agreement.

You agree to indemnify and hold SmartAgents LLC harmless from any claims, losses, or damages (including reasonable legal fees) arising from your violation of these terms or your misuse of the website or free tools.

These terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles. Any dispute arising from these terms or your use of the website will be resolved in the state or federal courts located in King County, Washington.

We may update these terms from time to time. Material changes will be noted with an updated effective date at the top of this page. Continued use of the website or services after changes constitutes acceptance.
